Welcome to QSO Director. These Terms and Conditions (“Terms”) apply to your use of the QSO Director website, software, and related services (together, the “Services”), which are provided by Short Path Limited (doing business as QSO Director) (“Company,” “we,” “us,” or “our”), a company registered in England. By accessing or using the Services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Services. These Terms apply to both free and paid versions of QSO Director.

2. Modifications

We may update these Terms from time to time, including to reflect changes to the Services, applicable law, regulatory requirements or our business practices.

If we make a material change that affects your rights or obligations, we will give you reasonable advance notice before the change takes effect. Where required by applicable law, we will obtain your consent or give you the opportunity to cancel your subscription before the change takes effect.

Changes will not retrospectively alter rights or obligations that arose before the change took effect.

3. Age Restrictions

You must be at least 16 years old to use our Services. By using our Services, you confirm that you meet this requirement. If we become aware that an account has been created by someone under 16, we will terminate the account and securely delete any related personal data.

4. Intellectual Property

  • All content, software, trademarks, graphics, and materials made available through the Services are owned or licensed by Short Path Limited and are protected by copyright, trademark, and other intellectual property laws.
  • Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your personal, non-commercial purposes.
  • You may not copy, modify, distribute, sell, rent, reverse engineer, decompile, or otherwise attempt to extract the source code of the software except where permitted by law.
  • All rights not expressly granted to you are reserved by Short Path Limited.

5. Software in Development

QSO Director and its associated software, systems and services is still in development and as such you accept that the following will apply:

  • Not all features detailed or referenced on the website or from within the software will be available or fully functional yet.
  • Features and capabilities will be rolled out as and when they are deemed by us to be ready.
  • Some features and capabilities may change as the development progresses.
  • Bugs may be more prominent than reasonably expected.
  • Bugs may occur more frequently than reasonably expected.

As QSO Director is actively developed, we may modify, update, replace or discontinue features and functionality from time to time.

While we aim to provide advance notice of significant changes where reasonably possible, we are not obligated to maintain any specific feature or capability.

Nothing in this Section affects any statutory rights or remedies that cannot lawfully be excluded or restricted.

6. Aggregated and Analytical Data

Short Path Limited may generate aggregated, anonymised, or statistical data derived from the operation of the Services and user activity within them.

Such aggregated or anonymised data may include, for example:

  • band activity statistics
  • propagation or contact trend information
  • system performance metrics
  • general usage analytics

This information will not identify individual users or contain personal data.

Short Path Limited retains full ownership of such aggregated and anonymised data and may use it for purposes including:

  • improving the Software
  • operating and maintaining the Services
  • generating statistical insights
  • research or development.

Nothing in this section grants Short Path Limited ownership of your personal data as defined in the Privacy Policy.

7. User Responsibilities

You agree that you will not:

  • Use the Services for any unlawful, harmful, or unauthorised purpose.
  • Attempt to gain unauthorised access to the Services, systems, or data.
  • Interfere with or disrupt the security, integrity, or performance of the Services.
  • Share your login credentials with others or allow unauthorised use of your account. You are responsible for all activity conducted through your account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorised use of your account, you must notify us immediately. We are not responsible for any loss or damage resulting from your failure to safeguard your account credentials.

8. Free Trials

8.1 Free Trial

We may offer eligible customers a free trial of QSO Director (a “Free Trial” or “Trial”) to allow them to evaluate the Services before a paid subscription begins.

Unless otherwise stated when the Trial is offered, the Free Trial lasts for 14 days.

A valid payment method is required when starting a Free Trial. No subscription fee will be charged solely as a result of starting the Trial during the Trial period.

Before starting a Trial, you will be shown the subscription plan you have selected, the price that will apply after the Trial and the applicable billing period.

8.2 Trial Eligibility

Each customer is normally entitled to one Free Trial only.

Once you have used a Free Trial, you are not automatically entitled to another Trial, including where you cancel your Trial or a subsequent paid subscription and later register or subscribe again.

Creating or using multiple accounts, email addresses, payment methods or other account details for the purpose of obtaining additional Free Trials is not permitted.

We may use information reasonably available to us to determine whether you, or an account associated with you, has previously received a Free Trial. We reserve the right to refuse, restrict or terminate a Trial where we reasonably believe that a previous Trial has already been used or that the Trial offer is being misused.

8.3 Cancelling a Free Trial

You may cancel at any time before the Free Trial ends.

If you cancel before the end of the Trial, you will not be charged the subscription fee that would otherwise become payable when the Trial expires.

Cancelling or ceasing to use QSO Director during a Trial does not pause, reset or preserve any unused portion of the Trial and does not create an entitlement to another Free Trial.

8.4 End of the Free Trial

Unless you cancel before the end of the Free Trial, your selected paid subscription will begin automatically when the Trial expires.

At that time, we will charge your selected payment method the subscription fee applicable to the plan you selected, together with any applicable taxes.

Your subscription will then continue and automatically renew at the end of each applicable billing period unless and until you cancel it in accordance with Section 9.

8.5 Additional or Extended Trials

We may, at our discretion, extend a Trial or permit an additional Free Trial in individual circumstances, including where significant changes have been made to QSO Director since a customer previously evaluated the Services.

Any extension or additional Trial granted by us is discretionary and does not create an entitlement to any further Free Trials.

8.6 Free Trials and Statutory Rights

The Free Trial is a contractual benefit provided by Short Path Limited and is separate from any cancellation, withdrawal, refund or other rights you may have under applicable law.

Nothing in this Section 8 excludes, restricts or modifies any consumer right or remedy which cannot lawfully be excluded, restricted or modified.

9. Subscriptions, Payments, Cancellation and Refunds

9.1 Paid Subscriptions

Unless stated otherwise, access to QSO Director and its related services and systems requires an active paid subscription.

Subscriptions may be offered with monthly, annual or other billing periods as displayed at the time of purchase.

Before you enter into a subscription, we will display the applicable subscription price, billing period, any applicable Free Trial, and any other applicable charges.

Where your subscription begins with a Free Trial, your first subscription payment will become due when the Trial ends unless you cancel beforehand in accordance with Section 8.

9.2 Payment Following a Free Trial

Where your subscription begins with a Free Trial, no subscription fee will be charged during the Trial period.

Unless you cancel before the Trial ends, your selected paid subscription will begin automatically when the Trial expires and your selected payment method will be charged the applicable subscription fee together with any applicable taxes.

By starting a Free Trial, you authorise us and our payment provider to charge your selected payment method when the Trial expires unless you cancel beforehand.

9.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each applicable billing period unless cancelled.

By maintaining an automatically renewing subscription, you authorise us and our payment provider to charge the applicable subscription fee and any applicable taxes to your selected payment method at each renewal.

Your subscription will renew using the same billing period unless otherwise agreed or selected by you.

9.4 Cancelling a Paid Subscription

You may cancel an automatically renewing subscription at any time through the subscription management facilities provided by QSO Director or by contacting us.

Cancellation prevents your subscription from automatically renewing for a further billing period.

If you cancel after a subscription payment has been made, your subscription will ordinarily remain active until the end of the billing period for which you have already paid. Cancellation does not normally entitle you to a refund or credit for any unused portion of that billing period, except where required by applicable law.

To prevent a subscription from renewing and a further payment being taken, you must cancel before the next scheduled renewal.

Cancelling a subscription does not automatically delete your QSO Director account. Account deletion is handled separately in accordance with these Terms and our Privacy Policy.

9.5 Subscription Fees and Taxes

The subscription fee payable is the price displayed to you when you purchase your subscription, subject to any subsequent price changes made in accordance with these Terms.

Prices may include or be subject to VAT, sales tax or other applicable taxes depending upon your location and applicable law.

Before you enter into a subscription, the subscription price and any taxes or other charges that we are required to collect will be displayed to you.

Where taxes are not collected by us or our payment provider, you are responsible for any taxes, duties or similar charges which you are legally required to pay in connection with your purchase or use of the Services.

9.6 Price Changes

We may change our subscription prices from time to time.

A price change will not retrospectively affect a subscription period for which you have already paid.

Where a price change will apply to a future renewal of your existing subscription, we will give you reasonable advance notice, including any notice required by applicable law. The notice will tell you the new price and when it will take effect.

You may cancel your subscription before the renewal to which the new price applies if you do not wish to continue at the new price.

9.7 Refunds

Except where required by applicable law, subscription fees which have already been charged are non-refundable and we do not provide refunds or credits for partially used subscription periods, periods during which you did not use the Services, or because you failed to cancel before a Trial ended or a subscription renewed.

The Free Trial is provided so that you have an opportunity to evaluate QSO Director before the first subscription payment is taken.

We may, at our discretion, provide a refund or credit in exceptional circumstances. Any discretionary refund or credit provided by us does not create an entitlement to a refund or credit in any other case.

Nothing in this Section 9.7 limits any right to a refund, price reduction or other remedy which you may have under applicable law and which cannot lawfully be excluded or restricted.

9.8 Failed or Reversed Payments

If a payment fails, is declined, reversed, charged back or otherwise remains unpaid, we may suspend or restrict access to paid features until the payment issue has been resolved.

Where reasonably necessary, we may retry a failed payment using the payment method associated with your subscription, subject to applicable law and the rules of our payment provider.

We reserve the right to terminate a subscription where payment remains outstanding.

9.9 Payment Processing

Payments may be processed on our behalf by third-party payment service providers.

Where payment details are collected directly by our payment provider, we do not receive or store your complete payment card details.

Your use of a payment provider’s services may also be subject to that provider’s applicable terms and privacy policy.

9.10 Changes to Subscription Plans

We may develop, modify, replace or discontinue features as QSO Director evolves. Where a change materially reduces the principal functionality included in an existing paid subscription, we will provide reasonable notice where practicable and any cancellation, refund or other remedy required by applicable law.

Any changes affecting an existing paid subscription will be made subject to these Terms and applicable law. Where required, we will provide appropriate notice of a material change and explain any cancellation or other rights available to you.

9.11 Consumer and Statutory Rights

These Terms provide contractual rights in addition to any rights you may have under applicable law.

Nothing in these Terms is intended to exclude, restrict or modify any consumer right, cancellation or withdrawal right, refund entitlement, guarantee, warranty or other remedy which cannot lawfully be excluded, restricted or modified.

Where applicable law gives you rights which are additional to or inconsistent with these Terms, those statutory rights will apply to the extent required by law.

The availability and extent of statutory consumer rights may vary depending upon your country or place of residence and the circumstances of your purchase.

Nothing in these Terms limits any consumer rights or tax protections that may apply under the mandatory laws of your country of residence.

9.12 Statutory Right to Cancel

If you are a consumer and applicable law gives you a statutory right to cancel your subscription, this right is separate from your contractual right to cancel a Free Trial or stop your subscription from renewing under these Terms.

Under UK consumer law, you normally have the right to cancel a contract entered into online within 14 days after the day on which the contract is entered into, without giving any reason.

To exercise this statutory right to cancel, you must inform us of your decision to cancel before the cancellation period expires. You may do this through the subscription management facilities provided in your admin portal by QSO Director or by contacting us at [email protected] with a clear statement that you wish to cancel your contract.

You may use the model cancellation form below, but you are not required to do so.

If you validly exercise a statutory right to cancel, we will provide any refund or other remedy required by applicable law.

Nothing in this Section affects any additional or different cancellation or withdrawal rights which may apply to you under the mandatory laws of your country of residence.

10. Limitation of Liability

QSO Director is software under active development. While we aim to provide a reliable and useful service, we do not guarantee that the Services will be uninterrupted, completely error-free or available at all times, or that every feature will operate with every combination of computer, operating system, radio, accessory, network or third-party service.

Nothing in these Terms excludes, restricts or modifies any statutory right, guarantee, warranty or remedy that cannot lawfully be excluded, restricted or modified.

  • We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
  • To the maximum extent permitted by law, Short Path Limited and its directors, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of data, profits, or revenue.
  • Subject to any liability or remedy which cannot lawfully be excluded or restricted, our total liability to you arising out of or in connection with the Services will not exceed the total amount you paid to us for the Services during the 12 months immediately preceding the event giving rise to the claim.
  • Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited.
  • We are not responsible for services provided by third parties that you choose to connect with through our Services.

The Services are provided as a convenience tool for managing amateur radio activity and records. The Services must not be relied upon for critical communications, emergency operations, regulatory compliance, or time-sensitive contest activity.

You are responsible for ensuring that records which are important to you are appropriately backed up or otherwise preserved, and for verifying any information required for regulatory, award, contest or other official purposes.

We do not guarantee that the Services will be available at all times. Maintenance, updates, network failures, or events beyond our control may result in temporary interruptions.

11. Termination

We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay applicable fees, or use the Services in a way that may harm us or others.

Inactive and Non-Subscribed Accounts

We reserve the right to suspend or delete accounts that do not have an active paid subscription or that have remained inactive for an extended period of time. Where reasonably possible, we will provide advance notice before deletion, but we are not obligated to do so.

Spam and Abuse Prevention

We reserve the right to suspend or permanently remove accounts that we reasonably believe have been created for spam, fraudulent, abusive, or unauthorised purposes. This includes accounts created using automated methods, false information, or in a manner intended to exploit or disrupt the Services.

General Right to Remove Accounts

We may, at our reasonable discretion, suspend or terminate accounts where it is necessary to protect the security, integrity, or operation of the Services, or to comply with legal or regulatory obligations.

Upon termination, your right to use the Services ends immediately, but you remain responsible for all obligations incurred before termination.

Upon termination, we may retain certain personal data in accordance with our Privacy Policy and legal obligations.

Amateur radio contact log data (QSO records) that you have submitted through the Services may be retained in anonymised or non-identifiable form, or where necessary to preserve the integrity of amateur radio contact records. Such logs may continue to be stored and displayed as part of the Services, but will no longer be linked to your personal account.

12. Privacy and Data Protection

We take your privacy seriously. Please see our Privacy Policy for details on how we collect, use, and protect your personal data in compliance with UK GDPR.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.

If you are ordinarily resident outside England and Wales, this choice of law does not deprive you of any mandatory consumer protections provided by the laws that apply to you and which cannot lawfully be excluded by agreement.

You may bring proceedings in the courts of England and Wales or in any other court in which you are entitled to bring proceedings under applicable law. Nothing in these Terms limits any mandatory right you may have regarding the law applicable to you or the courts in which proceedings may be brought.

14. General Provisions

  • Severability: If any part of these Terms is found invalid or unenforceable, the remainder will continue in effect.
  • Entire Agreement: These Terms, along with any applicable licence agreements or policies, constitute the entire agreement between you and Short Path Limited regarding the Services.
  • Force Majeure: We are not responsible for any failure or delay caused by events beyond our reasonable control.
  • No Waiver: If we do not enforce any part of these Terms, it will not be considered a waiver of our rights.

For any questions regarding these Terms, please contact us at [email protected].
